Terms of Service

These Terms of Service (“Terms”) govern your use of the GIX Media website and any services provided by GIX Media Limited (“GIX Media”, “we”, “us”, or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
GIX Media provides premium media production and brand agency services including, but not limited to, podcast production, video production, professional photography, studio hire, social media strategy, and audience-based media placements. The specific scope, deliverables, and timelines for each engagement are defined in a separate Statement of Work or Service Agreement signed by both parties.
2. Engagement & Proposals
All proposals issued by GIX Media are valid for 30 days from the date of issue unless otherwise stated. A project commences upon receipt of a signed agreement and the required deposit. Verbal commitments do not constitute a binding contract.
3. Fees & Payment
- All fees are set out in the project proposal or service agreement.
- Unless otherwise agreed, projects require a 50% deposit before work commences, with the balance due upon delivery or at agreed milestones.
- Invoices are due within 14 days of issue unless alternative terms have been agreed in writing.
- Late payments attract interest at 8% per annum above the applicable base rate.
- GIX Media reserves the right to pause or suspend work on accounts with outstanding balances.
- All prices are exclusive of applicable taxes (VAT, etc.) unless stated otherwise.
4. Intellectual Property
Client materials
You retain all rights to materials, assets, and data you provide to us for the purposes of your project (“Client Materials”). You represent that you have the right to provide such materials and that their use will not infringe any third-party rights.
Deliverables
Upon receipt of full payment, GIX Media assigns to you all intellectual property rights in the final agreed deliverables, except where third-party materials (e.g. licensed stock, fonts, or music) are incorporated — those remain subject to their respective licences.
GIX Media materials
GIX Media retains ownership of all pre-existing tools, frameworks, templates, methodologies, and know-how used in producing your deliverables. Nothing in these Terms transfers ownership of such materials to you.
Portfolio rights
Unless otherwise agreed in writing, GIX Media reserves the right to display completed work in its portfolio and marketing materials.
5. Revisions & Scope Changes
Each project includes a defined number of revision rounds as specified in the project agreement. Requests beyond the agreed scope will be quoted and invoiced separately. GIX Media will notify you in writing before proceeding with any out-of-scope work.
6. Client Responsibilities
You agree to:
- Provide accurate, complete briefs and timely feedback.
- Nominate a single point of contact with authority to approve work.
- Supply all required assets, approvals, and access credentials on time.
- Review and approve content within agreed timelines; delays caused by the client may affect project schedules and may incur additional charges.
7. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the engagement and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of three years.
8. Termination
Either party may terminate a project with 30 days' written notice. In the event of termination by the client, fees for all work completed to the date of termination are due immediately. In the event of termination by GIX Media due to client breach, the deposit and any fees for completed work are non-refundable.
9. Limitation of Liability
To the fullest extent permitted by law, GIX Media's total liability for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the claim. In no event shall GIX Media be liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities.
10. Warranties & Disclaimers
GIX Media warrants that services will be performed with reasonable skill and care. We do not warrant that results will meet specific performance targets (e.g. follower counts, conversion rates) unless expressly guaranteed in writing. Marketing outcomes depend on many factors outside our control.
The GIX Media website is provided “as is” without warranties of any kind. We do not guarantee that the website will be uninterrupted, error-free, or free of viruses.
11. Indemnification
You agree to indemnify, defend, and hold harmless GIX Media and its directors, employees, and contractors from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, your use of our services, or your infringement of any third-party rights.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to GIX Media's right to seek injunctive relief in any jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms. We will endeavour to notify existing clients of material changes via email.
